Terms of Service

These terms govern your use of Tensor Machine's AI inference platform and related services.

Acceptance of Terms

By creating an account or using the Tensor Machine API, console, or any associated service (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms. If you do not agree to these Terms, do not use the Services.

Service Description

Tensor Machine provides an AI inference API and associated tooling that enables customers to run inference on large language models and other AI models hosted within Indian data centres. The Services are provided on an as-a-service basis via an OpenAI-compatible REST API.

We reserve the right to modify, suspend, or discontinue any part of the Services with reasonable notice. We will endeavour to provide at least 30 days notice for material changes that affect production workloads.

Account Registration

You must provide accurate and complete information when registering an account. You are responsible for maintaining the confidentiality of your API keys and account credentials. You must notify us immediately at security@tensormachine.ai if you suspect unauthorised access to your account.

One account may hold multiple API keys. API keys should be rotated regularly and must not be shared publicly, embedded in client-side code, or committed to public version control repositories.

Acceptable Use

Your use of the Services must comply with our Acceptable Use Policy at tensormachine.ai/legal/aup, which is incorporated into these Terms by reference. You are responsible for all content processed through your API keys, including ensuring you have appropriate rights and consents for any personal data included in API requests.

Payment Terms

Pricing: All prices are denominated in Indian Rupees (INR) and are exclusive of applicable taxes. GST at the prevailing rate (currently 18%) will be charged on all invoices. You will receive GST-compliant tax invoices usable for input tax credit claims.

Billing: Pay-as-you-go usage is billed monthly in arrears. Pre-purchased credits are deducted in real-time. Subscription plans are billed monthly or annually in advance.

Payment Methods: We accept major credit and debit cards, UPI, NEFT/RTGS bank transfer, and Razorpay-supported payment methods. Payments are processed by Razorpay Software Pvt. Ltd.

Late Payment: Accounts with overdue balances exceeding 15 days may be suspended. A late payment fee of 1.5% per month may apply on outstanding amounts.

Disputes: Billing disputes must be raised within 60 days of the invoice date by contacting billing@tensormachine.ai.

Data and Privacy

Processing of personal data through the Services is governed by our Privacy Policy and, for enterprise customers, the Data Processing Agreement (DPA) available at tensormachine.ai/legal/dpa. You are the Data Fiduciary for any personal data included in API requests. Tensor Machine acts as Data Processor and processes such data only as instructed.

Intellectual Property

Platform: Tensor Machine retains all intellectual property rights in the platform, API, documentation, and associated software. These Terms do not grant you any IP rights beyond the limited licence to use the Services during the term.

Models: Model weights are owned by their respective licensors and are made available subject to their licence terms. Tensor Machine does not claim ownership of third-party model weights.

Your Content: You retain all rights to content you submit to the Services. By using the Services you confirm you have the necessary rights to submit such content and grant Tensor Machine the limited right to process it solely to provide the Services.

Limitation of Liability

To the maximum extent permitted by applicable law, Tensor Machine's total liability to you for any claims arising under these Terms shall not exceed the fees paid by you to Tensor Machine in the three months immediately preceding the claim.

Tensor Machine shall not be liable for indirect, incidental, consequential, punitive, or special damages, including loss of profits, data, or business opportunities, even if advised of the possibility of such damages.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.

Governing Law and Disputes

These Terms are governed by the laws of India. Any disputes arising under or in connection with these Terms shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be referred to binding arbitration under the Arbitration and Conciliation Act 1996 (as amended), with a sole arbitrator appointed by mutual agreement. The seat of arbitration shall be Bengaluru, Karnataka. The language of arbitration shall be English.

Courts in Bengaluru, Karnataka shall have exclusive jurisdiction for any interim relief or for enforcement of an arbitral award.
